Terms of Service

By accessing or using WatchFlow ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you ("User", "you") and WatchFlow ("Company", "we", "us"). By creating an account, you represent that you are at least 18 years of age and have the legal authority to enter into this agreement.

To use WatchFlow, you must create an account by providing accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized use of your account
• Ensuring your account information remains accurate and up to date

We reserve the right to suspend or terminate accounts that contain false or misleading information, or that are used in violation of these Terms.

By using WatchFlow, you acknowledge and agree that authorized WatchFlow administrators may access your account for the following legitimate purposes:

• Customer support -- To investigate and resolve issues you report, or to assist with account configuration
• Troubleshooting -- To diagnose technical problems affecting your account or the platform
• Security investigation -- To detect, prevent, or investigate fraud, abuse, or security incidents
• Service improvement -- To understand usage patterns and improve platform reliability

Access Safeguards

All administrative access to your account is subject to the following safeguards:

• Every access session is logged with timestamps, the administrator's identity, and the documented reason
• Sessions are limited to 15 minutes and automatically expire
• Access is read-only by default -- write access requires explicit justification
• A minimum 10-character reason must be provided before any access is granted
• You are notified via in-app notification after every administrative access, including the stated reason
• You may review your complete account activity log at any time from your Settings page

We will never access your account for personal curiosity, competitive intelligence, or any purpose unrelated to the operation and improvement of the WatchFlow platform.

When you upload data to WatchFlow (inventory, listings, contacts, deal information), the following data processing terms apply:

Roles & Responsibilities

• You are the Data Controller for the personal data of your own customers, contacts, and business partners that you store in WatchFlow
• WatchFlow is the Data Processor -- we process this data solely on your behalf and according to your instructions via the platform's features

Our Obligations as Processor

• We process your data only for the purposes of providing the WatchFlow service
• We implement appropriate technical and organizational security measures
• We will assist you in fulfilling data subject access requests from your contacts
• We will notify you within 72 hours of becoming aware of a personal data breach affecting your data
• Upon termination of your account, we will delete your data within 30 days unless legal retention is required

Sub-Processors

We use the following third-party services to deliver the WatchFlow platform:

• Stripe -- Payment processing
• WhatsApp (Meta) -- Listing distribution via WhatsApp groups
• Telegram -- Listing distribution via Telegram groups
• Shopify -- Inventory synchronization (when connected)
• Intuit QuickBooks -- Invoice synchronization (when connected)

We will notify you at least 30 days in advance if we add new sub-processors that handle your personal data.

WatchFlow offers the following subscription tiers:

All payments are processed securely through Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring monthly basis until you cancel.

• Subscriptions renew automatically at the start of each billing cycle
• You may cancel your subscription at any time; access continues until the end of the current billing period
• Price changes will be communicated at least 30 days in advance
• Refunds are handled on a case-by-case basis at our discretion

You agree to use WatchFlow only for lawful purposes related to the buying, selling, and trading of watches and related goods. You may not:

• Use the Service to list or promote counterfeit, stolen, or illegally obtained merchandise
• Attempt to gain unauthorized access to the Service, other accounts, or related systems
• Distribute malware, spam, or unsolicited communications through the platform
• Scrape, data-mine, or reverse-engineer any part of the Service
• Use the Service in any way that violates applicable local, national, or international law
• Resell, sublicense, or redistribute access to the Service without our written consent

We reserve the right to investigate and take appropriate action against violations, including suspension or termination of your account without notice.

The WatchFlow platform, including its design, code, features, branding, and documentation, is the exclusive property of WatchFlow and is protected by intellectual property laws.

• Our IP -- You may not copy, modify, distribute, or create derivative works based on any part of the WatchFlow platform without our prior written consent
• Your Content -- You retain full ownership of all listings, images, and data you upload to WatchFlow. By using the Service, you grant us a limited license to store, process, and distribute your content solely for the purpose of providing the Service

This license terminates when you delete your content or close your account.

To the maximum extent permitted by applicable law:

• WatchFlow is provided "as is" and "as available" without warranties of any kind, whether express or implied
• We do not guarantee that the Service will be uninterrupted, error-free, or completely secure
• We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
• Our total liability to you for any claims arising from or related to the Service shall not exceed the amount you paid to WatchFlow in the twelve (12) months preceding the claim

You acknowledge that the watch trade involves inherent risks, and WatchFlow is a listing and distribution tool -- we do not verify the authenticity of watches, vet buyers or sellers, or guarantee any transaction outcomes.

Either party may terminate this agreement at any time:

• By You -- You may cancel your subscription and close your account at any time from your account settings. Your access will continue until the end of the current billing period
• By Us -- We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or if required by law

Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days following account closure, after which it will be permanently deleted unless a longer retention period is required by law.

We may update these Terms from time to time to reflect changes in our practices, features, or legal requirements. When we make material changes:

• We will notify you via email or an in-app notification at least 30 days before the changes take effect
• The "Last updated" date at the top of this page will be revised
• Your continued use of the Service after the effective date constitutes acceptance of the updated Terms

If you do not agree to the revised Terms, you must stop using the Service and close your account before the changes take effect.

These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles. Any disputes arising from or related to these Terms or the Service shall be resolved through good-faith negotiation first, and if unresolved, through binding arbitration or the courts of competent jurisdiction.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
